• Software and cloud architecture

• Cloud services and DevOps

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements
• Respond to requests for information in a timely manner
• Make payments according to the agreed schedule
• Provide necessary access to systems and resources
• Respect intellectual property rights
• Communicate professionally with our team

4. Payment Terms

4.1 Payment Schedule

• Projects typically require a 50% deposit before work begins
• Remaining balance due upon project completion or as agreed in the contract
• Monthly retainer agreements are available for ongoing services

4.2 Late Payments

Late payments may result in suspension of services and additional fees. We reserve the right to charge interest on overdue amounts.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients own the custom code and designs created specifically for their project.

5.2 DevsNet Ownership

DevsNet retains ownership of proprietary tools, frameworks, and methodologies used in the development process. We also retain the right to use general knowledge and experience gained from projects.

6. Confidentiality

We understand the sensitive nature of business information and maintain strict confidentiality. All client information, business processes, and proprietary data will be kept confidential unless disclosure is required by law.

7. Project Timeline and Delivery

• Project timelines are estimates based on initial requirements
• Delays may occur due to scope changes or client feedback cycles
• We strive to meet all agreed deadlines and will communicate any potential delays
• Client approval is required at specified milestones before proceeding

8. Warranty and Support

8.1 Warranty Period

We provide a 90-day warranty on custom development work, covering bugs and issues that prevent the software from functioning as specified.

8.2 Ongoing Support

Ongoing maintenance and support services are available under separate agreements. This includes updates, security patches, and feature enhancements.

9. Limitation of Liability

DevsNet's liability is limited to the amount paid for the specific service. We are not liable for indirect, incidental, or consequential damages. We make no warranties regarding third-party services or software integrated into projects.

10. Termination

10.1 By Client

Clients may terminate projects with 30 days written notice. Payment is due for all work completed up to the termination date.

10.2 By DevsNet

We may terminate services for non-payment, breach of contract, or unprofessional conduct. In such cases, completed work will be delivered upon payment of outstanding invoices.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, or government actions.

12. Governing Law

These terms shall be interpreted and governed in accordance with the laws of the jurisdiction where DevsNet is incorporated. Any disputes shall be resolved through binding arbitration.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website and take effect immediately. Continued use of our services constitutes acceptance of modified terms.
